Agreement to These Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Marshall's Legacy LLC ("Marshall's Legacy," "we," "us," or "our"), a Wyoming limited liability company, governing your access to and use of marshallslegacy.com and the programs, courses, and community features offered through that website (collectively, the "Platform").
By accessing or using the Platform, creating an account, or enrolling in any program, you confirm that you have read, understood, and agree to be bound by these Terms, and that you are at least 18 years of age. If you do not agree to these Terms, do not use the Platform.
Nature of the Platform - This is Not Therapy
Marshall's Legacy is an online educational course platform. The programs offered including Breaking the Cycle, Finding Solid Ground, and Rebuilding / Rebuilding Together are structured psycho-educational courses. They are not therapy, counseling, psychotherapy, or any form of clinical treatment.
Enrollment in any Marshall's Legacy program does not establish a therapist-client relationship between you and Marshall's Legacy LLC, or between you and any individual associated with Marshall's Legacy LLC.
The program content is not a substitute for professional mental health care, addiction treatment, or medical advice. If you are in crisis or require clinical support, please contact a licensed mental health professional or crisis service in your area or dial 9-1-1.
Eligibility
To use the Platform, you must:
Be at least 18 years of age
Have the legal capacity to enter into a binding contract
Not be prohibited from using the Platform under the laws of your jurisdiction
Provide accurate and complete information when creating your account
We do not knowingly permit individuals under the age of 18 to enroll in our programs or create accounts. If we discover that a user is under 18, we will terminate that account.
Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access to or use of your account.
Your account is personal to you. You may not share your account credentials, transfer your account to another person, or allow any other individual to access program content using your account. Each enrollment is for individual use only.
We reserve the right to suspend or terminate accounts that we believe are being shared, transferred, or used in violation of these Terms.
Programs, Enrollment, and Content Access
Program Descriptions
Marshall's Legacy currently offers the following programs delivered through the Platform:
Breaking the Cycle: a 26-week structured educational program for individuals navigating compulsive sexual behavior
Finding Solid Ground: a 26-week structured educational program for partners experiencing betrayal trauma
Rebuilding Together: a 26-week couples program (availability and launch date subject to change)
Rebuilding Intimacy: a 26-week individual sexual and emotional intimacy building program (availability and launch date subject to change) for non-partnered members
Program availability, content, and structure are subject to change. We will provide reasonable notice of material changes to enrolled members.
Membership Tiers
Access to programs is available through the following membership tiers. Pricing and tier features are as displayed at marshallslegacy.com at the time of enrollment and are subject to change for future billing periods with notice.
The Journey: month-to-month membership providing access to one individual course track’s content, individual course calls, and the resource library for $97/month, cancel anytime.
Restore: month-to-month or annual membership providing access to both individual course tracks content (one for each user), the resource library, Rebuilding Together (couples track), live session access, and the relational community layer for $197/month or $1,970 annually (a discount equivalent to 2 months off the monthly price)
Content Dripping and Access Schedule
Program content is released on a phased schedule following enrollment. Course phases are made available progressively during your membership. Access to later phases is not available prior to the scheduled release dates, regardless of how quickly you progress through earlier phases. The release schedule is subject to change with notice to enrolled members.
Promotional Codes
Promotional discount codes may be offered from time to time and may be subject to use limits, expiration dates, and eligibility restrictions as specified at the time of offer. Promotional codes cannot be applied retroactively to completed purchases.
Billing, Payment, and Cancellation
Payment Processing
All payments are processed through Stripe, Inc. By enrolling in a program, you authorize us to charge your payment method on a recurring basis in accordance with the membership tier and billing cycle you select. You agree to Stripe's terms of service, which govern payment processing.
Recurring Billing
Month-to-month memberships are billed on a recurring monthly basis. Annual memberships are billed on a one-time basis, and then convert to monthly billing thereafter. Billing continues until you cancel your membership. You are responsible for all charges incurred under your account prior to cancellation.
Failed Payments
If a payment fails, we will attempt to collect payment again. If payment cannot be collected after retry attempts, your access to the Platform may be suspended until payment is resolved. We are not responsible for content or progress lost as a result of account suspension due to failed payment.
Cancellation
You may cancel your membership at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access to the Platform through the end of the period for which you have paid. We do not provide partial-period refunds upon cancellation.
Refund Policy
Unless otherwise stated at checkout, all sales are final and no refunds are issued except as required by applicable law.
Taxes
You are responsible for all applicable taxes on your purchase. Where required by law, applicable sales tax or VAT will be collected at checkout.
Acceptable Use
By using the Platform, you agree that you will not:
Share your account credentials or allow others to access the Platform using your account
Copy, reproduce, distribute, publish, display, or resell any course content or materials
Record, screenshot, or capture course videos, live sessions, or any other Platform content without our written permission
Use the Platform or its content for any commercial purpose without our written permission
Attempt to reverse-engineer, scrape, or systematically download Platform content
Use the Platform in any way that violates applicable law or regulation
Post, transmit, or share content that is harmful, threatening, harassing, defamatory, or otherwise objectionable
Impersonate any person or entity or misrepresent your affiliation with any person or entity
We reserve the right to suspend or terminate your account and access to the Platform if we determine, in our sole discretion, that you have violated these acceptable use standards.
Intellectual Property
All content available through the Platform — including course videos, written materials, worksheets, audio content, program frameworks, the Breaking the Cycle curriculum, the Finding Solid Ground curriculum, and any other materials — is the property of Marshall's Legacy LLC or its licensors and is protected by copyright and other intellectual property laws.
Your enrollment grants you a limited, non-exclusive, non-transferable, revocable license to access and use course content for your own personal, non-commercial use during your active membership. This license does not grant you any ownership interest in the content and does not permit copying, reproduction, distribution, or use beyond individual personal use.
Worksheets and living documents provided within the programs may be downloaded and used by you personally as part of your participation in the program. They may not be shared, reproduced, or distributed to others.
Community Features
The Platform includes community features through which members may submit questions to coaches and participate in structured community spaces. These features are moderated and do not include open member-to-member messaging or public discussion boards.
Any content you submit through community features — including questions, responses, or other submissions — must comply with our community guidelines as posted on the Platform. By submitting content, you grant Marshall's Legacy LLC a non-exclusive license to use, display, and respond to that content within the Platform for the purpose of delivering program services.
We reserve the right to remove any content that violates our community guidelines or these Terms, and to suspend or terminate access for members who violate community standards.
Disclaimers
THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MARSHALL'S LEGACY LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not own the platform and therefore do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We do not warrant that the course content will achieve any particular outcome for any individual user. Individual results will vary.
The program content is educational in nature. It is not a guarantee of recovery, sobriety, relationship repair, or any other specific outcome. We make no representations regarding the effectiveness of the program for any individual.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MARSHALL'S LEGACY LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE TOTAL AMOUNT YOU PAID TO MARSHALL'S LEGACY LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Educational Purpose; No Professional Relationship. The Services, including all courses, materials, worksheets, communications, and community features, are provided for general educational and informational purposes only. They are not therapy, counseling, medical care, crisis intervention, or any other professional service, and they do not create a therapist–client, physician–patient, or other professional relationship between you and Marshall’s Legacy, LLC or any individual associated with it. The Services are not a substitute for diagnosis or treatment by a licensed professional. You should always consult a qualified provider regarding your specific situation, and you should never disregard or delay seeking professional help because of anything accessed through the Services. If you are experiencing a medical or mental-health emergency, contact emergency services by dialing 9-1-1 or a crisis line. 9-8-8 immediately.
"As Is." The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, [Company Name], LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage. We do not warrant that the Services will be uninterrupted, error-free, or that any particular result, outcome, recovery, or improvement will be achieved.
Exclusion of Certain Damages. To the fullest extent permitted by law, Marshall’s Legacy, LLC and its members, managers, employees, contractors, and clinical contributors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or emotional distress, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.
Cap on Liability. To the fullest extent permitted by law, the total aggregate liability of Marshall’s Legacy, LLC arising out of or relating to the Services or these Terms will not exceed the greater of (a) the total amount you paid to us for the Services in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Exceptions. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud, gross negligence, willful misconduct, or personal injury caused by negligence. Nothing in this section waives any non-waivable right you may have under the consumer-protection laws of your state of residence.
Allocation of Risk. You acknowledge that the disclaimers and limitations in this section reflect a reasonable allocation of risk and are an essential basis of the bargain between you and Marshall’s Legacy, LLC, and that we would not provide the Services on an economically reasonable basis without them. These limitations apply even if a remedy fails of its essential purpose.
Indemnification
You agree to defend, indemnify, and hold harmless Marshall’s Legacy, LLC and its members, managers, employees, contractors, and clinical contributors from and against any third-party claims, demands, actions, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms; (b) your violation of any law or of any right of a third party; (c) any content you submit, post, or share through the Services; or (d) your misuse of the Services. We will provide you with reasonable notice of any such claim, may participate in the defense with counsel of our own choosing at our own expense, and you will not settle any claim in a manner that imposes any obligation or admission on us without our prior written consent. This obligation survives termination of these Terms.
Governing Law and Dispute Resolution
Governing Law
These Terms, and any dispute or claim (whether in contract, tort, statute, or otherwise) arising out of or relating to these Terms, their subject matter, the Services, or your use of the Services, are governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict-of-laws rules. The internal affairs and governance of Marshall’s Legacy, LLC as a limited liability company remain governed by the laws of the State of Wyoming, its state of organization. Nothing in this section waives any non-waivable consumer-protection or privacy right you may have under the laws of your state of residence.
Informal Resolution First
Before initiating any formal proceeding, you agree to first notify us in writing at legal@marshallslegacy.com with a description of the dispute and the relief you seek. The parties will attempt in good faith to resolve the matter for at least sixty (60) days from the date of that notice.
Venue
Except for claims that properly belong in small claims court, you and Marshall’s Legacy, LLC agree that any unresolved dispute will be brought exclusively in the state or federal courts located in Gallatin County, Montana. Each party consents to the personal jurisdiction and venue of those courts and waives any objection based on inconvenient forum. To the fullest extent permitted by law, each party waives any right to a trial by jury.
Time to Bring Claims
To the extent permitted by applicable law, any claim arising out of or relating to these Terms or the Services must be filed within one (1) year after the claim arises, or it is permanently barred.
Termination
We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for violation of these Terms, for conduct we determine to be harmful to other members or the Platform, or for any other reason at our discretion.
Upon termination for cause, you will not be entitled to a refund of any prepaid fees. Upon termination by us without cause, we will provide a prorated refund of any prepaid amounts for the unused portion of the then-current billing period.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by updating the effective date and, where appropriate, by email to the address associated with your account. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any additional terms presented at checkout, constitute the entire agreement between you and Marshall's Legacy LLC regarding your use of the Platform, and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
